Consignment Agreement

1. Consigned Works

The Consignor delivers to the Gallery, on consignment, the work(s) listed in the Schedule below. The Schedule forms part of this Agreement.

2. Term

This consignment begins on the date of delivery and continues until terminated under clause 11. Either party may terminate on thirty (30) days written notice.

3. Commission

The Gallery is entitled to a commission of ______ % of the final sale price of each work sold during the term. Commission is earned only on completed sales for which the Gallery has received cleared funds.

4. Pricing and Discounts

Retail prices are those stated in the Schedule. The Gallery may offer a discount of up to ______ % without further consent; any greater discount requires the Consignor’s prior written approval, and is borne by Gallery and Consignor in proportion to their shares.

5. Title

Title to each work remains with the Consignor at all times until that work is sold and the purchase price is received in full. The Gallery holds each work as bailee. No work may be pledged, encumbered or used as security by the Gallery, and consigned works do not form part of the Gallery’s assets.

6. Copyright and Reproduction

Copyright in each work remains with the artist. Nothing in this Agreement transfers copyright or any reproduction right. The Gallery may reproduce images of the work solely to promote its sale — in the Gallery’s premises, website, catalogue, press materials and social channels — during the term, with the artist credited.

7. Risk and Insurance

Risk of loss or damage passes to the Gallery on delivery and remains with the Gallery until the work is sold or returned. The Gallery shall insure each work against all risks for its full retail value, naming the Consignor as loss payee, and shall provide evidence of cover on request.

8. Care, Storage and Display

The Gallery shall keep each work in a secure, climate-controlled environment, handle it in accordance with accepted museum practice, and shall not clean, restore, frame, re-frame or alter any work without the Consignor’s prior written consent.

9. Payment

The Gallery shall notify the Consignor of each sale within seven (7) days and shall remit the Consignor’s share within thirty (30) days of receiving cleared funds, together with a statement identifying the work, the buyer’s status, the sale price and the commission deducted.

10. Return of Unsold Works

On expiry or termination the Gallery shall return all unsold works to the Consignor at the Gallery’s expense, in the condition in which they were received, fair wear excepted, within fourteen (14) days.

11. Termination

Either party may terminate immediately if the other commits a material breach not remedied within fourteen (14) days of notice, or becomes insolvent. Termination does not affect commission already earned on completed sales.

12. Governing Law

This Agreement is governed by the laws of ____________________, and the parties submit to the exclusive jurisdiction of its courts.
