Terms of Service

1. Service Description

Gilded Artworks (“the Service”) is a SaaS platform operated by Gilded Ventures that generates professional documentation for fine art logistics, including editorial brochures, customs technical artwork sheets, and certificates of authenticity.

2. Acceptable Use

You agree to use Gilded Artworks only for lawful purposes. You may not:

• Generate fraudulent certificates of authenticity or falsified customs documentation
• Upload artwork images that you do not have the right to use
• Misrepresent artwork provenance, value, or authenticity
• Attempt to circumvent subscription limits or rate restrictions
• Use the Service to facilitate art fraud, money laundering, or sanctions evasion

3. Subscription & Billing

Gilded Artworks offers tiered subscription plans (Essentials, Professional, Studio, Gallery, Enterprise). Paid plans are billed monthly or annually through Stripe.

• Subscriptions automatically renew unless cancelled before the renewal date.
• You may cancel your subscription at any time through your account dashboard.
• Refunds are available within 14 days of initial purchase for annual plans.
• Monthly plans are non-refundable but you retain access until the end of your billing period.

4. Document Accuracy & Compliance

Important: Gilded Artworks generates documentation based on the information you provide. We do not independently verify artwork authenticity, provenance, or declared values.

• You are solely responsible for the accuracy of all artwork metadata, values, and provenance claims entered into the platform.
• Generated documents are formatted to meet common carrier requirements (UPS, FedEx, DHL) but Gilded Artworks does not guarantee customs acceptance in any jurisdiction.
• HS code suggestions are provided as guidance only and should be verified with a customs broker for high-value or unusual shipments.
• Certificates of Authenticity generated by the Service reflect the information you provide and do not constitute an independent authentication.

5. Intellectual Property

Your Content: You retain all rights to your artwork data, images, gallery branding, and any content you upload to Gilded Artworks. We claim no ownership over your content.

Our Templates: Document templates, design systems, CSS styling, and the Gilded Artworks brand are the intellectual property of Gilded Ventures. You may not extract, reproduce, or redistribute our template designs.

6. Data Handling

Your data is handled in accordance with our Privacy Policy. Key points:

• Artwork images on free plans are processed in memory and not persisted.
• Paid plans include secure, encrypted artwork and document storage.
• You may request deletion of all your data at any time.

7. Limitation of Liability

Gilded Artworks is provided “as is” without warranty of any kind. To the maximum extent permitted by law, Gilded Ventures shall not be liable for:

• Customs delays, rejections, or penalties resulting from generated documentation
• Inaccurate HS code suggestions or declared value calculations
• Loss of artwork data due to service interruptions
• Any indirect, incidental, or consequential damages

Our total liability is limited to the amount you have paid for the Service in the 12 months preceding the claim.

8. Termination

We reserve the right to suspend or terminate accounts that violate these terms, particularly in cases of suspected fraud or misuse. Upon termination, your data will be retained for 30 days to allow for export, after which it will be permanently deleted.

9. Governing Law

These terms are governed by the laws of the State of New York, United States. Any disputes shall be resolved in the courts of New York County.
